Terms of Service

Catalog Overwatch — Effective Date: March 14, 2026

1. Acceptance of Terms

By accessing or using Catalog Overwatch (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including individuals and organizations.

2. Description of Service

Catalog Overwatch provides a platform for tracking, monitoring, and analyzing brand and product catalog data. Features and capabilities are determined by the subscription plan you have selected. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, at our sole discretion and without prior notice or liability.

3. Account Registration

You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the security of your account. Authentication is handled by Clerk — we never have access to your password.

4. Item Limits & Plan Restrictions

Your use of the Service is subject to the Item limits defined by your current subscription plan.

  • You may not exceed the Item limit associated with your active plan. Attempts to add Items beyond your plan limit will be blocked.
  • To increase your Item limit, you must upgrade to a higher-tier plan. Plan upgrades are available at any time through your account settings.
  • Catalog Overwatch reserves the right to enforce plan limits and to suspend accounts that attempt to circumvent these restrictions.

5. Payments & Billing

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize Catalog Overwatch to charge your payment method on a recurring basis in accordance with your selected plan. Fees are non-refundable except where required by law or at our sole discretion.

If we make any changes to the pricing of your subscription plan, we will notify you by email no fewer than 7 days before the start of your next billing cycle. This notice period gives you sufficient time to review the change and take any action, including canceling your subscription, before the new pricing takes effect.

Continued use of the Service after the new pricing takes effect constitutes your acceptance of the updated pricing.

6. Acceptable Use

You are permitted to use data and content from the Service for internal business purposes, including business reporting, presentations, and analysis. This includes taking screenshots of the platform or exporting data for use in internal reports, slide decks, or similar business documents.

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Redistribute, resell, or publicly publish platform data or exports outside of internal business use without prior written authorization from Catalog Overwatch.
  • Attempt to reverse-engineer, disassemble, or otherwise derive source code from the Service.
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
  • Use automated tools to access the Service in a manner that exceeds normal usage patterns.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, compiled catalog data, brand intelligence, and UI design — are the exclusive property of Catalog Overwatch and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

8. Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or if your account poses a risk to the Service or other users. You may cancel your account at any time through your account settings. Upon termination, your right to access the Service will cease immediately.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. Catalog Overwatch does not warrant that the Service will be uninterrupted, error-free, or completely secure. Your use of the Service is at your own risk.

Without limiting the foregoing, you acknowledge that the following conditions may occur from time to time and do not constitute a breach of these Terms:

  • Third-Party Service Interruptions: The Service relies on third-party providers including Clerk for authentication and Stripe for payment processing. Outages, errors, or changes to these services may temporarily affect your access or experience.
  • Data Acquisition Outages: Catalog Overwatch collects brand and product data through automated data acquisition processes. These processes may be temporarily disrupted due to changes in data source structures, anti-scraping measures, or the time required to reprocess and update large datasets. During such periods, data may be incomplete, delayed, or temporarily unavailable.
  • Performance & Load Times: Due to the large volume of data processed by the platform, certain pages or features may experience slower load times. This is an expected characteristic of operating at scale and does not constitute a service failure.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Catalog Overwatch and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of data, loss of business opportunities, or business interruption — arising out of or in connection with your use of, or inability to use, the Service.

This limitation applies regardless of the legal theory under which the claim is brought (including contract, tort, negligence, or strict liability), and even if Catalog Overwatch has been advised of the possibility of such damages.

In all cases, our total cumulative liability to you for any and all claims arising out of or relating to the Service shall not exceed the total amount you paid to Catalog Overwatch in the one (1) month immediately preceding the event giving rise to the claim. If you have not made any payments during that period, our liability shall be zero.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Force Majeure

Catalog Overwatch shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, civil unrest, government actions, internet or network outages, cyberattacks (including distributed denial-of-service attacks, malware, or other forms of digital attack), third-party service failures, or changes to data sources that disrupt automated data acquisition processes (collectively, “Force Majeure Events”).

If a Force Majeure Event continues for a period of fifteen (15) or more consecutive days and materially prevents us from providing the Service, either party may terminate this agreement with written notice. Any fees paid prior to the Force Majeure Event are non-refundable.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict of laws principles. Catalog Overwatch is a product of IdeaItch, incorporated in Little Rock, Arkansas.

In the event of any dispute arising out of or relating to these Terms or your use of the Service, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, the parties agree to submit the dispute to non-binding mediation in Pulaski County, Arkansas before initiating any legal proceedings.

If mediation is unsuccessful, all disputes shall be resolved through binding arbitration in Pulaski County, Arkansas, in accordance with the rules of the American Arbitration Association. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction. You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

13. General Provisions

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

No Waiver: Failure by Catalog Overwatch to enforce any right or provision of these Terms on any occasion shall not constitute a waiver of that right or provision, nor shall it prevent Catalog Overwatch from enforcing that right or provision on any future occasion.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Catalog Overwatch regarding your use of the Service and supersede all prior agreements, understandings, or representations, whether written or oral.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Catalog Overwatch may assign its rights and obligations, including in connection with a merger, acquisition, or sale of assets, without restriction.

14. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by updating the effective date above and, where appropriate, by sending an email notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
